class=\"subsection\">(a)\u2002The board of directors shall govern the authority.<\/div>\n<div class=\"subsection\">\n<div class=\"subsection\">\n<p>(b)\u2002The board of directors shall establish policies for the operation of the authority. \u2002The board of directors shall provide for the implementation of those policies which are the responsibility of the authority&#8217;s chief executive officer.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p>(c)\u2002All members of the board of directors shall exercise their independent judgment on behalf of the interests of the residents, property owners, and the public within San Diego County as a whole in furthering the purposes and intent of this division. \u2002The members of the board of directors shall represent the interests of the public as a whole and not solely the interests of the local officials who appointed them to the board of directors.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p>(d)\u2002The board of directors shall have a three-member executive committee. \u2002<span class=\"added-material\">One member of the executive committee shall be a board member selected from among those members appointed by the Mayor of the City of San Diego pursuant to\u00a0<span class=\"cite\">subparagraph (A) of paragraph (1) of subdivision (a) of Section 170010\u00a0<\/span>(category 1). \u2002One member of the executive committee shall be a board member appointed by the Chair of the Board of Supervisors of the County of San Diego pursuant to\u00a0<span class=\"cite\">subparagraph (B) of paragraph (1) of subdivision (a) of Section 170010\u00a0<\/span>(category 2). \u2002One member of the executive committee shall be a board member selected from among those members appointed pursuant to\u00a0<span class=\"cite\">subparagraphs (C)\u00a0<\/span>to\u00a0<span class=\"cite\">(F), inclusive, of paragraph (1) of subdivision (a) of Section 170010\u00a0<\/span>(category 3). \u2002Additionally,<\/span>\u00a0members of the executive committee shall be the following:<\/p>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\">(1)\u2002The chair of the authority&#8217;s board of directors\u00a0<span class=\"added-material\">pursuant to\u00a0<span class=\"cite\">subdivision (d) of Section 170010\u00a0<\/span><\/span>.<\/p>\n<p style=\"padding-left: 40px\">(2)\u2002The vice chair of the authority&#8217;s board of directors, appointed from a category different than the chair.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\"><span class=\"added-material\">(3)\u2002A third member of the board of directors appointed from a category that is not represented on the executive committee as a result of paragraphs (1) and (2).<\/span><\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\"><span class=\"added-material\">(4)\u2002The members of the executive committee serving pursuant to paragraphs (2) and (3) shall each be selected to serve by a vote of the members of the board of directors.<\/span><\/p>\n<\/div>\n<\/div>\n<div class=\"subsection\">\n<p>(e)\u2002The board of directors shall\u00a0<span class=\"added-material\">appoint<\/span>\u00a0a seven-member audit committee\u00a0<span class=\"added-material\">consisting<\/span>\u00a0of four members of the board of directors\u00a0and the three public members appointed pursuant to\u00a0<span class=\"cite\">Section 170018\u00a0<\/span>.<\/p>\n<\/div>\n<p><br class=\"avia-permanent-lb\" \/><br
