class=\"subsection\">(a)\u2002The bylaws shall set forth (unless such provision is contained in the articles, in which case it may only be changed by an amendment of the articles) the number of directors of the corporation, or the method of determining the number of directors of the corporation, or that the number of directors shall be not less than a stated minimum nor more than a stated maximum with the exact number of directors to be fixed, within the limits specified, by approval of the board or the members (<span class=\"cite\">\u00a0Section 5034\u00a0<\/span>), in the manner provided in the bylaws, subject to\u00a0<span class=\"cite\">subdivision (e) of Section 9151\u00a0<\/span>. \u2002The number or minimum number of directors may be one or more.<\/div>\n<div class=\"subsection\">\n<div class=\"subsection\">\n<p>(b)\u2002Except as otherwise provided in the articles or bylaws, once members have been admitted, a bylaw specifying or changing a fixed number of directors or the maximum or minimum number or changing from a fixed to a variable board or vice versa may only be adopted by approval of the members (<span class=\"cite\">\u00a0Section 5034\u00a0<\/span>).<\/p>\n<\/div>\n<div class=\"subsection\">\n<p>(c)\u2002The bylaws may contain any provision, not in conflict with law or the articles, for the management of the activities and for the conduct of the affairs of the corporation, including<span class=\"added-material\">,<\/span>\u00a0but not limited to:<\/p>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\">(1)\u2002Any provision referred to in\u00a0<span class=\"cite\">subdivision (c) of Section 9132\u00a0<\/span>.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\">(2)\u2002The time, place<span class=\"added-material\">,<\/span>\u00a0and manner of calling, conducting<span class=\"added-material\">,<\/span>\u00a0and giving notice of members&#8217;, directors&#8217;<span class=\"added-material\">,<\/span>\u00a0and committee meetings, or of conducting mail ballots.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\">(3)\u2002The qualifications, duties<span class=\"added-material\">,<\/span>\u00a0and compensation of directors; the time of their election; and the requirements of a quorum for directors&#8217; and committee meetings.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\">(4)\u2002The appointment of committees, composed of directors or nondirectors<span class=\"added-material\">,<\/span>\u00a0or both, by the board or any officer and the authority of any such committees.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\">(5)\u2002The appointment, duties, compensation<span class=\"added-material\">,<\/span>\u00a0and tenure of officers.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\">(6)\u2002The mode of determination of members of record.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\">(7)\u2002The making of reports and financial statements to members.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\">(8)\u2002Setting, imposing<span class=\"added-material\">,<\/span>\u00a0and collecting dues, assessments, and admissions and transfer fees.<\/p>\n<\/div>\n<\/div>\n<div class=\"subsection\">\n<p>(d)\u2002The bylaws may provide for the manner of admission, withdrawal, suspension, and expulsion of members.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p>(e)\u2002The bylaws may require, for any or all corporate actions (except as provided in\u00a0<span class=\"cite\">Section 9222 and subdivision (b)\u00a0<\/span>of\u00a0<span class=\"cite\">Section 9680\u00a0<\/span>), the vote of a larger proportion of, or all of, the members or the members of any class, unit, or grouping of members, or the vote of a larger proportion of, or all of, the directors than is otherwise required by this part. \u2002Such a provision in the bylaws requiring such greater vote shall not be altered, amended<span class=\"added-material\">,<\/span>\u00a0or repealed except by such greater vote, unless otherwise provided in the bylaws.<\/p>\n<\/div>\n<div class=\"subsection\">\n<p>(f)\u2002The bylaws may contain a provision limiting the number of members, in total or of any class, which the corporation is authorized to admit.<\/p>\n<\/div>\n<div class=\"subsection\">\n<div class=\"subsection\">\n<p><span class=\"added-material\">(g)(1)\u2002The bylaws may contain any provision, not in conflict with the articles, to manage and conduct the ordinary business affairs of the corporation effective only in an emergency as defined in\u00a0<span class=\"cite\">Section 9140\u00a0<\/span>, including, but not limited to, procedures for calling a board meeting, quorum requirements for a board meeting, and designation of additional or substitute directors.<\/span><\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\"><span class=\"added-material\">(2)\u2002During an emergency, the board may not take any action that requires the vote of the members or otherwise is not in the corporation&#8217;s ordinary course of business, unless the required vote of the members was obtained prior to the emergency.<\/span><\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\"><span class=\"added-material\">(3)\u2002All provisions of the regular bylaws consistent with the emergency bylaws shall remain effective during the emergency, and the emergency bylaws shall not be effective after the emergency ends.<\/span><\/p>\n<\/div>\n<div class=\"subsection\">\n<p style=\"padding-left: 40px\"><span class=\"added-material\">(4)\u2002Corporate action taken in good faith in accordance with the emergency bylaws binds the corporation, and may not be used to impose liability on a corporate director, officer, employee, or agent.<\/span><\/p>\n<\/div>\n<\/div>\n<p><br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<\/div>\n<\/div>\n<hr
