data-housestyle=\"EMPHASIS_bf\">2.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That, if true, [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">insert alleged mistake<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] would have been a legitimate and reasonable business purpose for the conduct. <br SS_Expandable\">Directions for Use<\/h2>\n<div id=\"TRNotes_n_2\">\n<p>In every contract, there is an implied promise that each party will not do anything to unfairly interfere with the right of any other party to receive the benefits of the contract. (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Comunale v. Traders &amp; General Ins. Co<\/span>. (1958) 50 Cal.2d 654, 658 [328 P.2d 198].) Give\u00a0CACI No. 2423,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Breach of Implied Covenant of Good Faith and Fair Dealing<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">\u2014Employment Contract\u2014<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Essential Factual Elements<\/span>, if the employee asserts a claim that the employee\u2019s termination or other adverse employment action was in breach of this implied covenant. Give this instruction if the employer asserts the defense that an honest, though mistaken, belief does not constitute a breach. <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_3\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[B]ecause the implied covenant of good faith and fair dealing requires the employer to act fairly and in good faith, an employer\u2019s honest though mistaken belief that legitimate business reasons provided good cause for discharge, will negate a claim it sought in bad faith to deprive the employee of the benefits of the contract.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Wilkerson v. Wells Fargo Bank<\/span>\u00a0(1989) 212 Cal.App.3d 1217, 1231 [261 Cal.Rptr. 185], internal citation omitted, disapproved on other grounds in\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Cotran v. Rollins Hudig Hall International, Inc.<\/span>\u00a0(1998) 17 Cal.4th 93, 96 [69 Cal.Rptr.2d 900, 948 P.2d 412].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThe jury was instructed that the neglect or refusal to fulfill a contractual obligation based on an honest, mistaken belief did not constitute a breach of the implied covenant.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Luck v. Southern Pacific Transportation Co.<\/span>\u00a0(1990) 218 Cal.App.3d 1, 26 [267 Cal.Rptr. 618].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">F<\/span>]<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">oley<\/span>\u00a0does not preclude inquiry into an employer\u2019s motive for discharging an employee \u2026\u2009.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Seubert v.
