(See\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Mexia v. Rinker Boat Co., Inc.<\/span>\u00a0(2009) 174 Cal.App.4th 1297, 1305 [95 Cal.Rptr.3d 285]\u00a0[four-year statute of\u00a0Cal. U. Com. Code, \u00a7\u20092725\u00a0applies to warranty claims under the Song-Beverly Consumer Warranty Act].)<\/p>\n<p>A breach of warranty occurs when tender of delivery is made. (Cal. U. Com. Code, \u00a7\u20092725(2).) Include \u201ctender of\u201d if actual delivery was not made or if delivery was made after tender. If whether a proper tender was made is at issue, the jury should be instructed on the meaning of \u201ctender.\u201d (See\u00a0Cal. U. Com. Code, \u00a7\u20092503.)<\/p>\n<p>Under the statute, a breach of warranty occurs when tender of delivery is made regardless of the aggrieved party\u2019s knowledge of the breach\u2014that is, there is no delayed-discovery rule. However, if an express warranty explicitly extends to future performance of the goods (for example, a warranty to repair defects for three years or 30,000 miles) and discovery of the breach must await the time of the performance, the cause of action accrues when the breach is or should have been discovered. (Cal. U. Com. Code, \u00a7\u20092725(2).) In such a case, give the second option in the second sentence. If delayed discovery is alleged,\u00a0CACI No. 455,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Statute of Limitations\u2014Delayed Discovery,<\/span>\u00a0may be adapted for use. (See\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Krieger v. Nick Alexander Imports, Inc.<\/span>\u00a0(1991) 234 Cal.App.3d 205, 215\u2013220 [285 Cal.Rptr. 717].)<\/p>\n<p>Under the California Uniform Commercial Code, by the original agreement the parties may reduce the period of limitation to not less than one year but may not extend it. (Cal. U. Com. Code, \u00a7\u20092725(1).) Presumably, this provision does not apply to claims under the Song-Beverly Act. (See\u00a0Civ. Code, \u00a7\u00a7\u20091790.1\u00a0[buyer\u2019s waiver of rights under Song-Beverly Act is unenforceable], 1790.3 [in case of conflict, provisions of Song-Beverly Act control over Cal. U. Com. Code].) <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_3\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Statute of Limitations Under Commercial Code.\u00a0California Uniform Commercial Code section 2725.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Buyer\u2019s Waiver of Song-Beverly Protections Not Enforceable.\u00a0Civil Code section 1790.1.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Song-Beverly Does Not Preempt Commercial Code.\u00a0Civil Code section 1790.3.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThe [Song Beverly] Act was intended to supplement the provisions of the California Uniform Commercial Code, rather than to supersede the rights and obligations created by that statutory scheme. (See\u00a0Civ. Code, \u00a7\u20091790.3.)\u00a0California Uniform Commercial Code section 2725\u00a0specifically governs actions for breach of warranty in a sales context. We conclude that this special statute of limitations controls rather than the general provision of\u00a0Code of Civil Procedure section 338, subdivision (a)\u00a0for liabilities created by statute.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Krieger, supra,<\/span>\u00a0234 Cal.App.3d at p. 215.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[Defendants] now concede that the statute of limitations for an action for breach of warranty under the Song-Beverly Act is four years pursuant to\u00a0section 2725 of the California Uniform Commercial Code. Under that statute, a cause of action for breach of warranty accrues, at the earliest, upon tender of delivery. Thus, the earliest date the implied warranty of merchantability regarding [plaintiff]\u2019s boat could have accrued was the date [plaintiff] purchased it\u2009\u2026\u2009. Because he filed this action three years seven months after that date, he did so within the four-year limitations period.
