If you decide that [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant\/third party<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] knew facts showing that [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of debtor<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] had a fraudulent intent, then [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant\/third party<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] cannot have taken the property in good faith. <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\"><\/h2>\n<div id=\"TRNotes_n_1\">\n<p><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">New June 2006; Revised June 2016, November 2017 <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/\">Crowdsource Lawyers<\/a><\/p>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci\">https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci<\/a><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\"><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Directions for Use<\/h2>\n<div id=\"TRNotes_n_2\">\n<p>This instruction presents a defense that is available to a good-faith transferee for value in cases involving allegations of actual fraud under the Uniform Voidable Transactions Act (formerly the Uniform Fraudulent Transfer Act). (See\u00a0Civ. Code, \u00a7\u20093439.08(a),\u00a0(f)(1).) Include the bracketed language in the first sentence if the plaintiff is bringing claims for both actual fraud and constructive fraud.<\/p>\n<p>The Legislative Committee Comments\u2014Assembly to\u00a0Civil Code section 3439.08(a)\u00a0provides that the transferee\u2019s knowledge of the transferor\u2019s fraudulent intent may,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">in combination with other facts,<\/span>\u00a0be relevant on the issue of the transferee\u2019s good faith. (See\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Annod Corp. v. Hamilton &amp; Samuels<\/span>\u00a0(2002) 100 Cal.App.4th 1286, 1299 [123 Cal.Rptr.2d 924], emphasis added.) However, another sentence of the same comment provides \u201cknowledge of facts rendering the transfer voidable would be inconsistent with the good faith that is required of a protected transferee.\u201d This language indicates that if the transferee knew facts showing that the transferor had a fraudulent intent, there cannot be a finding of good faith regardless of any combination of facts; and one court has so held. (See\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Nautilus, Inc. v. Yang<\/span>\u00a0(2017) 11 Cal.App.5th 33, 46 [217 Cal.Rptr.3d 458].) The committee believes that\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Nautilus<\/span>\u00a0presents the better rule. <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_3\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Transaction Not Voidable as to Good-Faith Transferee for Reasonable Value.\u00a0Civil Code section 3439.08(a).<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Transferee\u2019s Burden of Proving Good Faith and Reasonable Value.\u00a0Civil Code section 3439.08(f)(1).<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">When Value is Given.\u00a0Civil Code section 3439.03.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cIf a transferee or obligee took in good faith and for a reasonably equivalent value, however, the transfer or obligation is not voidable. Whether a transfer is made with fraudulent intent and whether a transferee acted in good faith and gave reasonably equivalent value within the meaning of section 3439.08, subdivision (a), are questions of fact.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Nautilus Inc., supra,<\/span>\u00a011 Cal.App.5th at p. 40, internal citation and footnote omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThe Legislative Committee comment to\u00a0Civil Code section 3439.08, subdivision (a), provides that \u2018good faith,\u2019 within the meaning of the provision, \u2018means that the transferee acted without actual fraudulent intent and that he or she did not collude with the debtor or otherwise actively participate in the fraudulent scheme of the debtor. The transferee\u2019s knowledge of the transferor\u2019s fraudulent intent may, in combination with other facts, be relevant on the issue of the transferee\u2019s good faith \u2026\u2009.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Annod Corp., supra,<\/span>\u00a0100 Cal.App.4th at p. 1299, internal citations omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c\u2009\u2018Fraudulent intent,\u2019 \u2018collusion,\u2019 \u2018active participation,\u2019 \u2018fraudulent scheme\u2019\u2014this is the language of\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">deliberate wrongful conduct<\/span>. It belies any notion that one can become a fraudulent transferee by accident, or even negligently. It certainly belies the notion that guilty knowledge can be created by the fiction of constructive notice.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Lewis v. Superior Court<\/span>\u00a0(1994) 30 Cal.App.4th 1850, 1859 [37 Cal.Rptr.2d 63], original italics.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cWe read\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Brincko<\/span>\u00a0[<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">v. Rio Props.<\/span>\u00a0(D.Nev., Jan. 14, 2013, No. 2:10-CV-00930-PMP-PAL) 2013 U.S.Dist. Lexis 5986, pp. *51\u2013*52] as requiring\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">actual<\/span>\u00a0knowledge by the transferee of a fraudulent intent on the part of the transferor\u2014not merely\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">constructive<\/span>\u00a0knowledge or inquiry notice. To that extent, we agree with\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Brincko\u2019s<\/span>\u00a0construction of the proper test for application of the good faith defense. However, our formulation of the test (1) does not use the words \u2018suggest to a reasonable person\u2019 because that phrase might imply inquiry notice\u2014a concept rejected in\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Lewis<\/span>\u00a0and\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Brincko<\/span>\u2014and (2) avoids use of the words \u2018voidable\u2019 and \u2018fraudulent transfer\u2019 because those concepts are inconsistent with the Legislative Committee comment to section 3439.08. Accordingly, we hold that a transferee does not take in good faith if the transferee had actual knowledge of facts showing the transferor had fraudulent intent.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Nautilus, Inc., supra,<\/span>\u00a011 Cal.App.5th at p. 46, original italics.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[T]he trial court erred in placing the burden of proof on [plaintiff] to prove the good faith defense did not apply.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Nautilus, Inc., supra,<\/span>\u00a011 Cal.App.5th at p. 41.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[U]nder section 3439.08, subdivision (b)(1)(A), judgment for a fraudulent transfer may be entered against \u2018[t]he first transferee of the asset\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">or the person for whose benefit the transfer was made<\/span>.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Lo v. Lee<\/span>\u00a0(2018) 24 Cal.App.5th 1065, 1072 [234 Cal.Rptr.3d 824], original italics.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cContrary to plaintiff\u2019s suggestion, the fact that a person received any kind of \u2018benefit,\u2019 no matter how intangible or indirect, from a fraudulent transaction does not necessarily subject that person to liability. There are limits to the legal assessment of the type of \u2018benefit\u2019 that will subject a beneficiary to liability for the debtor\u2019s alleged fraudulent transfer.
