In a direct action by the indemnitee against the indemnitor,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">\u201cname of plaintiff\u201d<\/span>\u00a0will refer to the person to whom the indemnitee has incurred liability.<\/p>\n<p>Implied contractual indemnity may arise for reasons other than the indemnitor\u2019s negligent performance under the contract. If the basis of the claim is other than negligence, specify the conduct involved. (See\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Garlock Sealing Technologies, LLC v. NAK Sealing Technologies Corp.<\/span>\u00a0(2007) 148 Cal.App.4th 937, 974 [56 Cal.Rptr.3d 177]\u00a0[breach of warranty].)<\/p>\n<p>Read the last bracketed portion if the indemnitor claims that the indemnitor was not the sole cause of the indemnitee\u2019s liability or loss. Select options depending on whether the indemnitor alleges contributory conduct of the indemnitee, of others, or of both. Element 1 will have to be modified if there are different contributing acts alleged against the indemnitee and others; for example, if the indemnitee is alleged to have been negligent and another party is alleged to be strictly liable.<\/p>\n<p>A special finding that an agreement existed may create a need for instructions, but it is a question of law whether an agreement implies a duty to indemnify. This instruction should be given only in cases in which the court has determined that the alleged indemnitor and the indemnitee have \u201ca joint legal obligation to the injured party.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Prince v. Pacific Gas &amp; Electric Co.<\/span>\u00a0(2009) 45 Cal.4th 1151, 1160 [90 Cal.Rptr.3d 732, 202 P.3d 1115].) <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_3\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cIn general, indemnity refers to \u2018the obligation resting on one party to make good a loss or damage another party has incurred.\u2019 Historically, the obligation of indemnity took three forms: (1) indemnity expressly provided for by contract (express indemnity); (2) indemnity implied from a contract not specifically mentioning indemnity (implied contractual indemnity); and (3) indemnity arising from the equities of particular circumstances (traditional equitable indemnity). [\u00b6] Although the foregoing categories of indemnity were once regarded as distinct, we now recognize there are only two basic types of indemnity: express indemnity and equitable indemnity. Though not extinguished, implied contractual indemnity is now viewed simply as \u2018a form of equitable indemnity.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Prince, supra,<\/span>\u00a045 Cal.4th at p. 1157, internal citations omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThe right to implied contractual indemnity is predicated upon the indemnitor\u2019s breach of contract, \u2018the rationale \u2026 being that a contract under which the indemnitor undertook to do work or perform services necessarily implied an obligation to do the work involved in a proper manner and to discharge foreseeable damages resulting from improper performance absent any participation by the indemnitee in the wrongful act precluding recovery.\u2019 \u2026 \u2018An action for implied contractual indemnity is not a claim for contribution from a joint tortfeasor; it is not founded upon a tort or upon any duty which the indemnitor owes to the injured third party. It is grounded upon the indemnitor\u2019s breach of duty\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">owing to the indemnitee<\/span>\u00a0to properly perform its contractual duties.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">West v. Superior Court<\/span>\u00a0(1994) 27 Cal.App.4th 1625, 1633 [34 Cal.Rptr.2d 409], internal citations omitted, original italics.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[A]n implied contractual indemnity claim, like a traditional equitable indemnity claim, is subject to the\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">American Motorcycle<\/span>\u00a0rule that a party\u2019s liability for equitable indemnity is based on its\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">proportional share of responsibility<\/span>\u00a0for the damages to the injured party.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Prince, supra,<\/span>\u00a045 Cal.4th at p. 1165, original italics.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[O]ur recognition that \u2018a claim for implied contractual indemnity is a form of equitable indemnity subject to the rules governing equitable indemnity claims\u2019 corrects any misimpression that joint liability is not a component.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Prince, supra,<\/span>\u00a045 Cal.4th at p. 1166, internal citation omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[U]nder [Code of Civil Procedure] section 877.6, subsection (c), \u2026 an [implied contractual] indemnity claim, like other equitable indemnity claims, may not be pursued against a party who has entered into a good faith settlement.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Bay Development, Ltd. v. Superior Court<\/span>\u00a0(1990) 50 Cal.3d 1012, 1031 [269 Cal.Rptr. 720, 791 P.2d 290].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cWe conclude the trial court erred in denying [the indemnitee\u2019s] implied contractual indemnity based on [indemnitee\u2019s] failure to prove [the indemnitor\u2019s] breach of warranty was the product of [indemnitor\u2019s] failure to use reasonable care in performing its contractual duties.
