class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">A partnership and each of its partners are responsible for the wrongful conduct of a partner acting within the scope of the partner\u2019s authority.<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">You must decide whether a partnership existed in this case. A partnership is a group of two or more persons who own a business in which all the partners agree to share the profits and losses. International Longshoremen\u2019s and Warehousemen\u2019s Union<\/span>\u00a0(1962) 57 Cal.2d 781, 783 [22 Cal.Rptr. 211, 371 P.2d 987].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[T]he partners of a partnership are jointly and severally liable for the conduct and torts injuring a third party committed by one of the partners.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Black v. Sullivan<\/span>\u00a0(1975) 48 Cal.App.3d 557, 569 [122 Cal.Rptr. 119], internal citations omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c\u2009\u2018[A] partnership need not be evidenced by writing [citation]. It is immaterial that the parties do not designate the relationship as a partnership or realize that they are partners, for the intent may be implied from their acts [citations].\u2019 \u2018In that sense, any partnership without a written agreement is a \u201cde facto\u201d partnership.\u2019 \u2018[T]he question of partnership is one of fact \u2026\u2009.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Eng v.
