Compensation\u2014Abandonment of Contract<\/h2>\n<hr \/>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">The contract between the parties provided for certain procedures to be followed if [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] wanted to be paid for changed or additional work that was not initially required by the contract. These procedures are called \u201cchange-order requirements.\u201d<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] claims that [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] required many changes and that the parties consistently ignored the contract\u2019s change-order requirements. Therefore, [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] claims that the contract was abandoned and that the change-order requirements no longer applied.<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">To establish this claim, [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] must prove the following:<\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">1.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That the parties through their conduct consistently disregarded the contract\u2019s change-order requirements; and<\/span><\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">2.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That the scope of work under the original contract had been altered by the changes so much that the final project was significantly different from the original project. <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/span><\/p>\n<hr \/>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\"><\/h2>\n<div id=\"TRNotes_n_1\">\n<p><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">New December 2010 <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/\">Crowdsource Lawyers<\/a><\/p>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci\">https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci<\/a><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\"><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Directions for Use<\/h2>\n<div id=\"TRNotes_n_2\">\n<p>This instruction is a contractor\u2019s response if the owner asserts that the contractor is not entitled to additional compensation for changed or additional work. (See\u00a0CACI No. 4521,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Owner\u2019s Claim That Contract Procedures Regarding Change Orders Were Not Followed<\/span>.) It should be given if the contractor claims that through their conduct, the parties acted in a manner that indicated that they had entirely abandoned their original contract.<\/p>\n<p>For instructions on damages after it has been established that the contract was abandoned, see\u00a0CACI No. 4541,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Contractor\u2019s Damages for Breach of Construction Contract\u2014Change Orders\/Extra Work\u2014Total Cost Recovery<\/span>, and\u00a0CACI No. 4542,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Contractor\u2019s Damages for Abandoned Construction Contract\u2014Quantum Meruit Recovery<\/span>.<\/p>\n<p>This instruction may not be used against a public entity. A contractor may not claim that a public entity has abandoned the applicable contract change order procedures on a project subject to competitive bidding in such a way as to increase the contract price because doing so would violate the public policy regarding competitive bidding. (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Amelco Electric v. City of Thousand Oaks<\/span>\u00a0(2002) 27 Cal.4th 228, 239 [115 Cal.Rptr.2d 900, 38 P.3d 1120].) <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_3\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[T]his court has not generally allowed quantum meruit recovery for extra work performed beyond the contract requirements.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Amelco Electric<\/span>,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">supra<\/span>, 27 Cal.4th at p. 234.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[W]hen an owner imposes upon the contractor an excessive number of changes such that it can fairly be said that the scope of the work under the original contract has been altered, an abandonment of contract properly may be found.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">C. Norman Peterson Co. v. Container Corp. of Am.<\/span>\u00a0(1985) 172 Cal.App.3d 628, 640 [218 Cal.Rptr. 592].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cAbandonment of a contract may be implied from the acts of the parties. Abandonment of the contract can occur in instances where the scope of the work when undertaken greatly exceeds that called for under the contract.\u2009\u2026 In the instant case the parties consistently ignored the procedures provided by the contract for the doing of extra work.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Daugherty Co. v. Kimberly-Clark Corp.<\/span>\u00a0(1971) 14 Cal.App.3d 151, 156 [92 Cal Rptr. 120], internal citation omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cUnder the abandonment doctrine, once the parties cease to follow the contract\u2019s change order process, and the final project has become materially different from the project contracted for, the entire contract\u2014including its notice, documentation, changes and cost provisions\u2014is deemed inapplicable or abandoned, and the plaintiff may recover the reasonable value for all of its work.
