Secret<\/h2>\n<hr \/>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">Improper means of acquiring a trade secret or knowledge of a trade secret include, but are not limited to, [theft\/bribery\/misrepresentation\/breach or inducing a breach of a duty to maintain secrecy\/ [or] wiretapping, electronic eavesdropping, [or] [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">insert other means of espionage<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]].<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[However, it is not improper to acquire a trade secret or knowledge of the trade secret by [any of the following]:<\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[1.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">Independent efforts to invent or discover the information;]<\/span><\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[2.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">Reverse engineering; that is, examining or testing a product to determine how it works, by a person who has a right to possess the product;]<\/span><\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[3.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">Obtaining the information as a result of a license agreement with the owner of the information;]<\/span><\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[4.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">Observing the information in public use or on public display;] [or]<\/span><\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[5.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">Obtaining the information from published literature, such as trade journals, reference books, the Internet, or other publicly available sources.]] <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/span><\/p>\n<hr \/>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\"><\/h2>\n<div SS_Expandable\">Directions for Use<\/h2>\n<div id=\"TRNotes_n_2\">\n<p>In the first paragraph, include only those statutory examples of \u201cimproper means\u201d supported by the evidence. (See\u00a0Civ. Code, \u00a7\u20093426.1(a).) The option for \u201cwiretapping, eavesdropping, [or] [<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">insert other means of espionage<\/span>]\u201d expresses the statutory term \u201cespionage.\u201d<\/p>\n<p>Include the optional last paragraph if any of those methods of obtaining the information are supported by the evidence. Omit any methods that are not at issue. If only one is at issue, omit \u201cany of the following.\u201d <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_3\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cImproper Means\u201d Defined.\u00a0Civil Code section 3426.1(a).<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Electronic Eavesdropping.\u00a0Penal Code section 630.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThe\u00a0Restatement of Torts, Section 757, Comment (f), notes: \u2018A complete catalogue of improper means is not possible,\u2019 but Section 1(1) includes a partial listing. Proper means include: 1. Discovery by independent invention; 2. Discovery by \u201creverse engineering,\u201d that is, by starting with the known product and working backward to find the method by which it was developed. The acquisition of the known product must of course, also be by a fair and honest means, such as purchase of the item on the open market for reverse engineering to be lawful; 3. Discovery under a license from the owner of the trade secret; 4. Observation of the item in public use or on public display; 5. Obtaining the trade secret from published literature. \u2026 [T]he assertion that a matter is readily ascertainable by proper means remains available as a defense to a claim of misappropriation. Information is readily ascertainable if it is available in trade journals, reference books, or published materials.\u201d (Civ. Code, \u00a7\u20093426.1, Legis. Comm.
