\/>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] and [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] agreed in their contract that [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] would not have to [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">insert duty<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] unless [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">insert condition precedent<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]. That condition did not occur. Radis<\/span>\u00a0(1953) 122 Cal.App.2d 196, 206 [264 P.2d 964].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c\u2009\u2018[C]ase law is clear that \u201c\u2009\u2018[w]aiver is the intentional relinquishment of a known right after knowledge of the facts.\u2019 [Citations.] The burden \u2026 is on the party claiming a waiver of a right to prove it by clear and convincing evidence that does not leave the matter to speculation, and \u201cdoubtful cases will be decided against a waiver\u2019 [citation].\u201d [Citations.] The waiver may be either express, based on the words of the waiving party, or implied, based on conduct indicating an intent to relinquish the right.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Stephens &amp; Stephens XII, LLC v. Fireman\u2019s Fund Ins. Co.<\/span>\u00a0(2014) 231 Cal.App.4th 1131, 1148 [180 Cal.Rptr.3d 683].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cAll case law on the subject of waiver is unequivocal: \u2018\u2009\u201cWaiver always rests upon intent.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">DRG\/Beverly Hills, Ltd. v. Chopstix Dim Sum Cafe &amp; Takeout III, Ltd.<\/span>\u00a0(1994) 30 Cal.App.4th 54, 60 [35 Cal.Rptr.2d 515]\u00a0[plaintiff\u2019s claim that defendant waived occurrence of conditions must be proved by clear and convincing evidence].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cA condition is waived when a promisor by his words or conduct justifies the promisee in believing that a conditional promise will be performed despite the failure to perform the condition, and the promisee relies upon the promisor\u2019s manifestations to his substantial detriment.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Sosin v. Richardson<\/span>\u00a0(1962) 210 Cal.App.2d 258, 264 [26 Cal.Rptr. 610].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cWaiver is ordinarily a question for the trier of fact; \u2018[h]owever, where there are no disputed facts and only one reasonable inference may be drawn, the issue can be determined as a matter of law.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">DuBeck v.
