mistake<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]. To succeed, [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] must prove both of the following:<\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">1.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That both parties were mistaken about [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">insert description of mistake<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]; and<\/span><\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">2.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] would not have agreed to enter into this contract if [he\/she\/<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">nonbinary pronoun<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">\/it] had known about the mistake.<\/span><\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">If you decide that [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] has proved both of the above, then no contract was created. <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\"><\/h2>\n<div id=\"TRNotes_n_1\">\n<p><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">New September 2003 <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/\">Crowdsource Lawyers<\/a><\/p>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci\">https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci<\/a><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\"><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Directions for Use<\/h2>\n<div id=\"TRNotes_n_2\">\n<p>This instruction does not contain the requirement that the mistake be material to the contract because the materiality of a representation is a question of law. (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Merced County Mutual Fire Insurance Co. v. State of California<\/span>\u00a0(1991) 233 Cal.App.3d 765, 772 [284 Cal.Rptr. 680].) Accordingly, the judge would decide whether an alleged mistake was material, and that mistake would be inserted into this instruction.<\/p>\n<p>If the mistake is one of law, this may not be a jury issue. <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_3\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">When Consent Not Free.\u00a0Civil Code section 1567.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Consent Obtained by Fraud.\u00a0Civil Code section 1568.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Mistake.\u00a0Civil Code section 1576.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Mistake of Fact.\u00a0Civil Code section 1577.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Mistake of Law.\u00a0Civil Code section 1578.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Rescission of Contract.\u00a0Civil Code section 1689.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cA mistake of fact may be urged as a defense to an action upon a contract only if the mistake is material to the contract.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Edwards v. Lang<\/span>\u00a0(1961) 198 Cal.App.2d 5, 12 [18 Cal.Rptr. 60].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cA \u2018mistake\u2019 within the meaning of\u00a0subdivision (b)(1) of section 1689 of the Civil Code\u00a0can be either one of fact or of law. \u2018Generally a mistake of fact occurs when a person understands the facts to be other than they are\u2009\u2026\u2009.\u2019 When both parties understand the facts other than they are, the mistake necessarily is mutual and thus becomes a basis for rescission.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Crocker-Anglo Nat\u2019l Bank v. Kuchman<\/span>\u00a0(1964) 224 Cal.App.2d 490, 496 [36 Cal.Rptr. 806], internal citations omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[T]o warrant a unilateral rescission of a contract because of mutual mistake, the mistake must relate to basic or material fact, not a collateral matter.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Wood v. Kalbaugh<\/span>\u00a0(1974) 39 Cal.App.3d 926, 932 [114 Cal.Rptr 673].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cWhere, as here, the extrinsic evidence is not in conflict, the determination of whether a mutual mistake occurred is a question of law.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Hess v. Ford Motor Co.<\/span>\u00a0(2002) 27 Cal.4th 516, 527 [117 Cal. Rptr. 2d 220, 41 P.3d 46].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cOrdinary negligence does not bar a claim for mutual mistake because \u2018\u2009\u201c[t]here is an element of carelessness in nearly every case of mistake\u2009\u2026\u2009.\u201d\u2009\u2019 \u2018Only gross negligence or \u2018preposterous or irrational\u2019 conduct will [bar] mutual mistake.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Thrifty Payless, Inc. v. The Americana at Brand, LLC<\/span>\u00a0(2013) 218 Cal.App.4th 1230, 1243 [160 Cal.Rptr.3d 718], internal citation omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cWhere parties are aware at the time the contract is entered into that a doubt exists in regard to a certain matter and contract on that assumption, the risk of the existence of the doubtful matter is assumed as an element of the bargain.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Guthrie v.
