class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">If you decide that [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] breached the contract, [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] may recover the reasonable amount of money that [he\/she\/<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">nonbinary pronoun<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">\/it] spent in preparing for contract performance. These amounts are called \u201creliance damages.\u201d [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] must prove the amount that [he\/she\/<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">nonbinary pronoun<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">\/it] was induced to spend in reliance on the contract.<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">If [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] proves reliance damages, [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] may avoid paying [some\/ [or] all] of those damages by proving [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">include one or both of the following<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]:<\/span><\/p>\n<p><span class=\"SS_ListLabel\">[1.<\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That [some\/ [or] all] of the money that [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] spent in reliance was unnecessary;]<\/span><\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[or]<\/span><\/p>\n<p><span class=\"SS_ListLabel\">[2.<\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] would have suffered a loss even if [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] had fully performed [his\/her\/<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">nonbinary pronoun<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">\/its] obligations under the contract]. <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/span><\/p>\n<hr \/>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\"><\/h2>\n<div id=\"TRNotes_n_1\">\n<p><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">New December 2015 <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/\">Crowdsource Lawyers<\/a><\/p>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci\">https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci<\/a><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\"><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_2\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cOne proper \u2018measure of damages for breach of contract is the amount expended [by the nonbreaching party] on the faith of the contract.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Agam v. Gavra<\/span>\u00a0(2015) 236 Cal.App.4th 91, 105 [186 Cal.Rptr.3d 295].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cWhere, without fault on his part, one party to a contract who is willing to perform it is prevented from doing so by the other party, the primary measure of damages is the amount of his loss, which may consist of his reasonable outlay or expenditure toward performance, and the anticipated profits which he would have derived from performance.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Buxbom v. Smith<\/span>\u00a0(1944) 23 Cal.2d 535, 541 [145 P.2d 305].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThis measure of damages often is referred to as \u2018reliance damages.\u2019 It has been held to apply where, as here, \u2018one party to an established business association fails and refuses to carry out the terms of the agreement, and thereby deprives the other party of the opportunity to make good in the business\u2009\u2026\u2009.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Agam, supra<\/span>, 236 Cal.App.4th at p. 105, internal citations omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThe lost earnings found by the jury constituted harm flowing not from the\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">breach<\/span>\u00a0of any contract but from plaintiff\u2019s\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">entry into<\/span>\u00a0the contract in the expectation of receiving the promised options. Such \u2018reliance\u2019 damages may sometimes be recovered on a contract claim \u2018[a]s an alternative\u2019 to expectation damages.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Ryan v. Crown Castle NG Networks, Inc.<\/span>\u00a0(2016) 6 Cal.App.5th 775, 788 [211 Cal.Rptr.3d 743], original italics.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[I]n the context of reliance damages, the plaintiff bears the burden to establish the amount he or she expended in reliance on the contract. The burden then shifts to the defendant to show (1) the amount of plaintiff\u2019s expenses that were unnecessary and\/or (2) how much the plaintiff would have lost had the defendant fully performed (i.e., absent the breach). The plaintiff\u2019s recovery must be reduced by those amounts.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Agam, supra<\/span>, 236 Cal.App.4th at p. 107, internal citation omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cConcerning reliance damages, Restatement [Second of Contracts] section 349 provides as follows: \u2018As an alternative to the measure of damages stated in [Restatement section] 347, the injured party has a right to damages based on his reliance interest, including expenditures made in preparation for performance or in performance,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">less any loss that the party in breach can prove with reasonable certainty the injured party would have suffered had the contract been performed<\/span>.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">US Ecology, Inc. v.
