An electronic record is not capable of retention by the recipient if the sender or its information processing system limits or prohibits the ability of the recipient to print or store it.] <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\"><\/h2>\n<div id=\"TRNotes_n_1\">\n<p><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">New December 2012; Revised December 2016 <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/\">Crowdsource Lawyers<\/a><\/p>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci\">https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci<\/a><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\"><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Directions for Use<\/h2>\n<div id=\"TRNotes_n_2\">\n<p>This instruction is for use if the plaintiff is relying on the Uniform Electronic Transactions Act (UETA,\u00a0Civ. Code, \u00a7\u20091633.1 et seq.) to prove contract formation. If there are other contested issues as to whether a contract was formed, also give\u00a0CACI No. 303,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Breach of Contract\u2014Essential Factual Elements<\/span>.<\/p>\n<p>The first paragraph asserts that electronic means were used to supply some or all of the essential elements of the contract. Give the third paragraph if a law requires a person to provide, send, or deliver information in writing to another person. (See\u00a0Civ. Code, \u00a7\u20091633.8(a).)<\/p>\n<p>The most likely jury issue is whether the parties agreed to rely on electronic records to finalize their agreement. Whether the parties agree to conduct a transaction by electronic means is determined from the context and surrounding circumstances, including the parties\u2019 conduct. (See\u00a0Civ. Code, \u00a7\u20091633.5(b).)<\/p>\n<p>The UETA does not specify any particular transmissions that meet the definition of \u201celectronic record,\u201d such as e-mail or fax. (See\u00a0Civ. Code, \u00a7\u20091633.2(g).) Nevertheless, there would seem to be little doubt that e-mail and fax meet the definition. The parties will probably stipulate accordingly, or the court may find that the particular transmission at issue meets the definition as a matter of law.<\/p>\n<p>If a law requires a signature, an electronic signature satisfies the law. (Civ. Code, \u00a7\u20091633.7(d).) The UETA defines an electronic signature as an electronic sound, symbol, or process attached to or logically associated with an electronic record and executed or adopted by a person with the intent to sign the electronic record. (Civ. Code, \u00a7\u20091633.2(h); see\u00a0Gov. Code, \u00a7\u200916.5(d)\u00a0(digital signature).) The validity of an electronic signature under this definition would most likely be a question of law for the court. If there is an issue of fact with regard to the parties\u2019 intent to use electronic signatures, this instruction will need to be modified accordingly. <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_3\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cElectronic Record\u201d Defined Under UETA.\u00a0Civil Code section 1633.2(g).<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cElectronic Signature\u201d Defined Under UETA.\u00a0Civil Code section 1633.2(h).<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Agreement to Conduct Transaction by Electronic Means.\u00a0Civil Code section 1633.5(b).<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Enforceability of Electronic Transactions.\u00a0Civil Code section 1633.7.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Providing Required Information by Electronic Means.\u00a0Civil Code section 1633.8(a).<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Attributing Electronic Record or Signature to Person.\u00a0Civil Code section 1633.9.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c\u2009\u2018Whether the parties agree to conduct a transaction by electronic means is determined from the context and surrounding circumstances, including the parties\u2019 conduct.\u2009\u2026 \u2018The absence of an explicit agreement to conduct the transaction by electronic means is not determinative; however, it is a relevant factor to consider.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">J.B.B. Investment Partners, Ltd. v. Fair<\/span>\u00a0(2014) 232 Cal.App.4th 974, 989 [182 Cal.Rptr.3d 154].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cUnder\u00a0Civil Code section 1633.7, enacted in 1999 as part of the Uniform Electronic Transactions Act, an electronic signature has the same legal effect as a handwritten signature.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Ruiz v. Moss Bros. Auto Group, Inc.<\/span>\u00a0(2014) 232 Cal.App.4th 836, 843 [181 Cal.Rptr.3d 781], internal citations omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cCivil Code section 1633.9\u00a0addresses how a proponent of an electronic signature may authenticate the signature\u2014that is, show the signature is, in fact, the signature of the person the proponent claims it is.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Ruiz, supra<\/span>, 232 Cal.App.4th at p. 843.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cWe agree that a printed name or some other symbol might, under specific circumstances, be a signature under UETA\u2009\u2026\u2009.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">J.B.B. Investment Partners, Ltd., supra<\/span>, 232 Cal.App.4th at p. 988.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThe trial court\u2019s analysis was incomplete. Attributing the name on an e-mail to a particular person and determining that the printed name is \u2018[t]he act of [this] person\u2019 is a necessary prerequisite but is insufficient, by itself, to establish that it is an \u2018electronic signature.\u2019 \u2026 UETA defines the term \u2018electronic signature.\u2019 Subdivision (h) of section 1633.2 states that \u2018\u2009\u201c[e]lectronic signature\u201d means an electronic sound, symbol, or process attached to or logically associated with an electronic record and\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">executed or adopted by a person with the intent to sign the electronic record<\/span>.\u2019 (Italics added; see\u00a0CACI No. 380\u00a0[party suing to enforce an agreement formalized by electronic means must prove \u2018based on the context and surrounding circumstances, including the conduct of the parties, that the parties agreed to use [e.g., e-mail] to formalize their agreement \u2026]\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">J.B.B. Investment Partners, Ltd., supra<\/span>,\u00a0232 Cal.App.4th at pp. 988\u2013989, original italics.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cIn the face of [plaintiff]\u2019s failure to recall electronically signing the 2011 agreement, the fact the 2011 agreement had an electronic signature on it in the name of [plaintiff], and a date and time stamp for the signature, was insufficient to support a finding that the electronic signature was, in fact, \u2018the act of\u2019 [plaintiff].\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Ruiz, supra<\/span>, 232 Cal.App.4th at p. 844.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[W]hether [defendant]\u2019s printed name constituted an \u2018electronic signature\u2019 within the meaning of UETA or under the law of contract, are legal issues\u2009\u2026\u2009.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">J.B.B.
