To establish this claim, [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] must prove all of the following:<\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">1.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[made a [statement of fact\/promise] [to\/received by] [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] that the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] [<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">2.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">insert one or more of the following<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">:<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]<\/span><\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[did not perform as [stated\/promised];] [or]<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[did not meet the quality of the [description\/sample\/model];]<\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[3.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] took reasonable steps to notify [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] within a reasonable time that the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] was not as represented, whether or not [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] received such notice;]<\/span><\/span><\/p>\n<p><span data-housestyle=\"EMPHASIS_it\">specify other remedy provided by warranty<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] as required by the warranty;<\/span><\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">5.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] was harmed; and<\/span><\/span><\/p>\n<p><span class=\"SS_ListLabel\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">6.<\/span><\/span><span class=\"SS_ListItemContent\"><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">That the failure of the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] to be as represented was a substantial factor in causing [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]\u2019s harm.<\/span><\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[Formal words such as \u201cwarranty\u201d or \u201cguarantee\u201d are not required to create a warranty. It is also not necessary for [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] to have specifically intended to create a warranty. But a warranty is not created if [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] simply stated the value of the goods or only gave [his\/her\/<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">nonbinary pronoun<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] opinion of or recommendation regarding the goods.] <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\"><\/h2>\n<div id=\"TRNotes_n_1\">\n<p><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">New September 2003; Revised February 2005, June 2015 <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/\">Crowdsource Lawyers<\/a><\/p>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci\">https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci<\/a><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\"><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Directions for Use<\/h2>\n<div id=\"TRNotes_n_2\">\n<p>This instruction is for use if breach of an express warranty is alleged under the California Commercial Code. (See\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Orichian v. BMW of North America, LLC<\/span>\u00a0(2014) 226 Cal.App.4th 1322, 1333\u20131334 [172 Cal.Rptr.3d 876];\u00a0Comm. Code, \u00a7\u20092313.) If a breach of written warranty under the federal Magnuson-Moss Warranty Act (see\u00a015 U.S.C. \u00a7\u20092301 et seq.) is alleged, give the first option for element 1. (See\u00a015 U.S.C. \u00a7\u00a7\u20092310(d)(1),\u00a02301(6).)<\/p>\n<p>The giving of notice to the seller is not required in personal injury or property damage lawsuits against a manufacturer or another supplier with whom the plaintiff has not directly dealt. (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Greenman v. Yuba Power Products, Inc.<\/span>\u00a0(1963) 59 Cal.2d 57, 61 [27 Cal.Rptr. 697, 377 P.2d 897];\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Gherna v. Ford Motor Co.<\/span>\u00a0(1966) 246 Cal.App.2d 639, 652\u2013653 [55 Cal.Rptr. 94].)<\/p>\n<p>If an instruction on the giving of notice to the seller is needed, see\u00a0CACI No.\u20021243,\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Notification\/Reasonable Time<\/span>. <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_3\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Express Warranties.\u00a0California Uniform Commercial Code section 2313.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Applicable to \u201cTransactions in Goods.\u201d\u00a0California Uniform Commercial Code section 2102.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cGoods\u201d Defined.\u00a0California Uniform Commercial Code section 2105.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Damages Under Commercial Code.\u00a0California Uniform Commercial Code section 2714.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cAn express warranty \u2018is a contractual promise from the seller that the goods conform to the promise. If they do not, the buyer is entitled to recover the difference between the value of the goods accepted by the buyer and the value of the goods had they been as warranted.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Dagher v. Ford Motor Co.<\/span>\u00a0(2015) 238 Cal.App.4th 905, 928 [190 Cal.Rptr.3d 261].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cA warranty relates to the title, character, quality, identity, or condition of the goods. The purpose of the law of warranty is to determine what it is that the seller has in essence agreed to sell.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Keith v. Buchanan<\/span>\u00a0(1985) 173 Cal.App.3d 13, 20 [220 Cal.Rptr. 392], internal citation omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThe essential elements of a cause of action under the California Uniform Commercial Code for breach of an express warranty to repair defects are (1) an express warranty to repair defects given in connection with the sale of goods; (2) the existence of a defect covered by the warranty; (3) the buyer\u2019s notice to the seller of such a defect within a reasonable time after its discovery; (4) the seller\u2019s failure to repair the defect in compliance with the warranty; and (5) resulting damages.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Orichian, supra<\/span>, 226 Cal.App.4th at pp. 1333\u20131334, internal citations omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cPrivity is not required for an action based upon an express warranty.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Hauter v. Zogarts<\/span>\u00a0(1975) 14 Cal.3d 104, 115, fn. 8 [120 Cal.Rptr. 681, 534 P.2d 377].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cUsed car owners that obtain their vehicles via private sales and who comply with the warranty terms may seek to enforce the express warranty against the manufacturer by bringing an action under the Commercial Code based on breach of express warranty. Such an action does not require that the plaintiff purchase the vehicle from a retail seller.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Dagher, supra<\/span>, 238 Cal.App.4th at p. 928.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c\u2009\u2018The determination as to whether a particular statement is an expression of opinion or an affirmation of a fact is often difficult, and frequently is dependent upon the facts and circumstances existing at the time the statement is made.\u2019\u2009\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Keith, supra,<\/span>\u00a0173 Cal.App.3d at p. 21, internal citation omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cStatements made by a seller during the course of negotiation over a contract are presumptively affirmations of fact unless it can be demonstrated that the buyer could only have reasonably considered the statement as a statement of the seller\u2019s opinion. Commentators have noted several factors which tend to indicate an opinion statement. These are (1) a lack of specificity in the statement made, (2) a statement that is made in an equivocal manner, or (3) a statement which reveals that the goods are experimental in nature.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Keith, supra,<\/span>\u00a0173 Cal.App.3d at p. 21.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cIt is important to note \u2026 that even statements of opinion can become warranties under the code if they become part of the basis of the bargain.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Hauter, supra,<\/span>\u00a014 Cal.3d at p. 115, fn. 10.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cThe basis of the bargain requirement represents a significant change in the law of warranties.
