class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] claims that [he\/she\/<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">nonbinary pronoun<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">\/it] is not responsible for any harm to [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] because [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] eliminated any implied representations relating to [the quality that a buyer would expect from the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]] [or] [the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]\u2019s fitness for a particular purpose]. To succeed, [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] must prove:<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Insert one or more of the following:<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[That the sale of the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] included notice using words such as \u201cwith all faults,\u201d \u201cas is,\u201d or other language that would have made a buyer aware that the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] was being sold without any guarantees.]<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[That, before entering into the contract, [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] examined the [product\/sample\/model] as fully as desired and that a complete examination would have revealed the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]\u2019s deficiency.]<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[That [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of plaintiff<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">] refused, after a demand by [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">name of defendant<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">], to examine the [product\/sample\/model] and that such examination would have revealed the [<\/span><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">product<\/span><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">]\u2019s deficiency.]<\/span><\/p>\n<p><span class=\"SS_bf\" data-housestyle=\"EMPHASIS_bf\">[That the parties\u2019 prior dealings, course of performance, or usage of trade had eliminated any implied representations.] <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\"><\/h2>\n<div id=\"TRNotes_n_1\">\n<p><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">New September 2003 <br class=\"avia-permanent-lb\" \/><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/\">Crowdsource Lawyers<\/a><\/p>\n<p><a href=\"https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci\">https:\/\/crowdsourcelawyers.com\/judicial-council-california-civil-jury-instructions-caci<\/a><span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\"><br class=\"avia-permanent-lb\" \/><\/span><\/p>\n<hr \/>\n<\/div>\n<\/div>\n<div class=\"SS_Note\">\n<h2 class=\"SS_HideShowSection SS_Expandable\">Sources and Authority<\/h2>\n<div id=\"TRNotes_n_2\">\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">Exclusion or Modification of Implied Warranties.\u00a0California Uniform Commercial Code section 2316.<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">The California Uniform Commercial Code Comment to this section states: \u201cDisclaimer of the implied warranty of merchantability is permitted under subsection (2), but with the safeguard that such disclaimers must mention merchantability and in case of a writing must be conspicuous.\u201d<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">The California Uniform Commercial Code Comment to section 2316 states: \u201cUnlike the implied warranty of merchantability, implied warranties of fitness for a particular purpose may be excluded by general language, but only if it is in writing and conspicuous.\u201d Accordingly, disclaimers of warranties for a particular purpose are probably issues for the court only. Section 1201(10) provides: \u201cA term or clause is conspicuous when it is so written that a reasonable person against whom it is to operate ought to have noticed it. A printed heading in capitals (as: NONNEGOTIABLE BILL OF LADING) is conspicuous. Language in the body of a form is \u2018conspicuous\u2019 if it is in larger or other contrasting type or color. But in a telegram any stated term is \u2018conspicuous.\u2019 Whether a term or clause is \u2018conspicuous\u2019 or not is for decision by the court.\u201d<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">The California Uniform Commercial Code Comment to section 2316 observes that \u201coral language of disclaimer may raise issues of fact as to whether reliance by the buyer occurred and whether the seller had \u2018reason to know\u2019 under the section on implied warranty of fitness for a particular purpose.\u201d<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">The California Uniform Commercial Code Comment to section 2316 states that the three exceptions listed under subdivision (3) \u201care common factual situations in which the circumstances surrounding the transaction are in themselves sufficient to call the buyer\u2019s attention to the fact that no implied warranties are made or that a certain implied warranty is being excluded.\u201d<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">The California Uniform Commercial Code comment to section 2316 states: \u201cParagraph (a) of subsection (3) deals with general terms such as \u2018as is,\u2019 \u2018as they stand,\u2019 \u2018with all faults,\u2019 and the like. Such terms in ordinary commercial usage are understood to mean that the buyer takes the entire risk as to the quality of the goods involved.\u201d<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">The California Uniform Commercial Code comment to section 2316 states: \u201cIn order to bring the transaction within the scope of \u2018refused to examine\u2019 in paragraph (b), it is not sufficient that the goods are available for inspection. There must in addition be a demand by the seller that the buyer examine the goods fully.\u201d<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">The California Uniform Commercial Code comment to section 2316 states: \u201cThe particular buyer\u2019s skill and the normal method of examining goods in the circumstances determine what defects are excluded by the examination.\u201d<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cInterpretation of a written document, where extrinsic evidence is unnecessary, is a question of law for the trial court to determine.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Temple, supra,<\/span>\u00a0148 Cal.App.3d at p. 1095, internal citations omitted.)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201cA disclaimer of warranties must be specifically bargained for so that a disclaimer in a warranty given to the buyer\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">after<\/span>\u00a0he signs the contract is\u00a0<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">not<\/span>\u00a0binding.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Dorman v. International Harvester Co.<\/span>\u00a0(1975) 46 Cal.App.3d 11, 19\u201320 [120 Cal.Rptr. 516].)<\/span><\/p>\n<p><span class=\"SS_ListLabel\">\u2022<\/span><span class=\"SS_ListItemContent\">\u201c[A]ny disclaimer or modification must be strictly construed against the seller.\u201d (<span class=\"SS_it\" data-housestyle=\"EMPHASIS_it\">Hauter v.
